Terms of Use

Acceptance
By accessing or using The Onboarding Tool (the “Service”), you agree to these Terms of Use. If you are using the Service on behalf of an accounting firm or other business, you represent that you have authority to bind that entity. If you do not agree to these terms, do not use the Service.
What the Service does
The Onboarding Tool provides a tax document intake portal. Accounting firms (“Operators”) use the Service to send unique upload links to their clients. Clients use those links to submit tax documents (W-2s, 1099s, and similar), which are validated by AI and delivered to the Operator’s Google Drive account.
Permitted use
The Service may be used only for lawful purposes. You agree not to:
- Upload documents you do not have the right to share.
- Use the Service to transmit malicious files, malware, or harmful content.
- Attempt to access another user’s upload link or Google Drive data.
- Reverse-engineer, scrape, or otherwise misuse the Service.
- Use the Service in any way that violates applicable law, including privacy laws governing tax and financial data.
Data and document responsibility
Operators are responsible for ensuring that their use of the Service complies with all applicable laws, including those governing the collection, storage, and processing of client tax information. Clients are responsible for uploading accurate, current documents.
Tax documents uploaded by clients are stored in the Operator’s own Google Drive account. The Onboarding Tool does not permanently store document contents. Operators are responsible for the security and retention of files in their Drive.
AI validation
Document validation is performed by an AI model and is provided for convenience only. The Onboarding Tool makes no guarantee that every document will be correctly classified. Operators should not rely solely on AI validation results as a substitute for professional review of tax documents.
Intellectual property
The Onboarding Tool and its underlying software, design, and content are owned by The Onboarding Tool and protected by applicable intellectual property laws. You may not copy, modify, or redistribute any part of the Service without written permission.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI VALIDATION RESULTS WILL BE ACCURATE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ONBOARDING TOOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Termination
We reserve the right to suspend or terminate access to the Service at any time, for any reason, without notice. You may stop using the Service at any time.
Changes to these terms
We may update these Terms from time to time. The effective date above will be updated when changes are made. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York.
